This role is for a Paralegal III supporting the Corporate Legal team in the Office of General Counsel, reporting to the Corporate Secretary. The position focuses on SEC filings, corporate governance documentation, NYSE requirements, and director compensation administration.

  • Assist with preparing SEC quarterly, annual, and other reports (Forms 10-K, 10-Q, 8-K, 11-K, SD),
  • Lead preparation of Section 16 filings (Form 3, Form 4, Form 5) and support 13-Fs,
  • Prepare and manage SEC and regulatory filing checklists and coordinate required exhibits with cross-functional teams,
  • Support corporate governance matters including resolutions and unanimous written consents for subsidiaries,
  • Manage director compensation administration and related onboarding documentation

The scope centers on securities and exchange commission compliance work, including preparation support for Forms 10-K, 10-Q, 8-K, 11-K, SD (Conflict Minerals), and Section 16 filings (Forms 3, 4, 5) plus 13-Fs. It also covers governance maintenance for subsidiaries (resolutions, unanimous written consents) and director compensation program administration.

The ideal candidate is a corporate paralegal with 5+ years of experience supporting SEC reporting and corporate governance for a major public company. They are comfortable independently managing SEC and regulatory filing checklists, coordinating cross-functional information gathering, and supporting director compensation administration while maintaining strict confidentiality.
