HF Sinclair seeks a Senior Counsel to provide legal support for downstream and midstream operations and to support business development activities. The role focuses on drafting and negotiating commercial agreements and advising on energy-sector M&A and joint ventures while ensuring alignment with business objectives and regulatory requirements.
Key Responsibilities
- Draft, review, and negotiate commercial contracts for downstream and midstream operations
- Advise on risk management, disputes, claims, and litigation
- Support M&A due diligence, drafting, and closing processes
- Counsel on joint venture agreements (formation, governance, operational structures)
- Monitor and interpret federal, state, and local regulations impacting operations
Technical Overview
This is a legal role with emphasis on contract drafting/negotiation, risk management, and regulatory interpretation for energy operations. It includes supporting M&A and joint venture transaction documentation (e.g., purchase and merger agreements) and coordinating diligence and closing processes.
Ideal Candidate
The ideal candidate is a senior in-house attorney with 5-7 years of legal experience, including at least 3 years in the energy industry focused on commercial contracts, M&A, and joint ventures. They can draft, review, and negotiate complex downstream and midstream agreements, and provide practical legal guidance on risk management, disputes, and regulatory compliance. They bring strong transaction navigation skills and collaboration with cross-functional business stakeholders.
