Prudential Financial (PGIM Private Credit) is seeking a VP-level Private Credit Counsel to primarily support corporate finance matters for private credit business units. The role focuses on structuring, negotiating, and supervising documentation for senior debt, mezzanine debt, and equity transactions, while monitoring regulatory trends and partnering with leadership.

Key Responsibilities

Structuring, negotiating and supervising corporate finance documentation
Serve as strategic partner to PPC businesses
Manage outside counsel
Track and monitor regulatory trends
Support transaction work involving senior debt, mezzanine debt and/or equity

Technical Overview

This is a legal role centered on corporate finance and private credit transaction work rather than software or systems. The technical scope includes familiarity with federal securities law and leveraged finance transactions, plus active management of outside counsel.

Ideal Candidate

The ideal candidate is a senior corporate finance lawyer supporting private credit investment transactions with deep experience structuring, negotiating, and supervising documentation for senior debt, mezzanine debt, and equity. They have represented insurance companies, banks, and private credit funds on corporate finance and/or leveraged finance matters and are familiar with federal securities law, with the ability to partner strategically with business stakeholders and manage outside counsel.
